But the regulator found “no evidence” of inappropriate activity relating to the Nuix IPO, it said in a submission to a Senate inquiry.
In addition to the Macquarie investigation, ASIC also opened an investigation into alleged insider trading by Nuix’s former chief financial officer Stephen Doyle and his brother Ross Doyle. A third investigation in June considered potential false or misleading statements in the prospectus.
“There was no evidence of inappropriate activity or misconduct arising from conflicts of interest to support a case that the arrangements in place were not adequate in all the circumstances,” ASIC said in its submission. The insider trading investigation was expanded in August 2021 to also investigate suspected breaches of continuous disclosure obligations and directors’ duties by Nuix and its board after it floated, which has led to civil penalty proceedings in the Federal Court.
